Harga Right Issue Saham Apexindo Rp550

Jakarta, Bisnis Indonesia – PT Apexindo Pratama Duta Tbk menetapkan harga penerbitan saham baru (right issue) sebanyak 837,6 juta saham sebesar Rp550 per saham dengan rasio pemegang 25 saham lama berhak membeli 12 saham baru.

Dana segar yang diperoleh dari hasil penerbitan saham ini diperkirakan mencapai Rp4,61 miliat dan akan dipergunakan untukmembayar utang afiliasi kepada PT Medco Energi Overseas B.V senilai lebih dari US$35 juta.

“Kami alokasikan 100% dari dana hasil penerbitan saham baru ini untuk membayar utang afiliasi karena untuk membangun rig baru, kami akan gunakan sumber dana lain,” kata Direktur Keuangan Apexindo, Agustinus B Lomboan, kepada Bisnis, kemarin.

Semula, hasil dari penerbitan saham baru itu nantinya untuk membangun rig ketiga ini. Namun, rencana itu dibatalkan karena perseroan belum memberikan penjelasan soal dana hasil right issue kepada Badan Pengawas Pasar Modal.

Dia mengatakan sejauh ini perseroan belum menentukan jumlah belanja modal yang akan dimanfaatkan untuk membangun rig. Dana untuk biaya pembangunan proyek ini berkisar antara US$145 juta sampai dengan US$150 juta.

Manajemen Apexindo berencana membagikan deviden pada akhir tahun ini sebesar 30% dari laba setelah pajak. Saldo laba bersih perseroan diprediksi meningkat pada semester II tahun ini. Hingga Juni 2005, laba bersih perseroan telah mencapai Rp1,2 miliar.

“Saat ini penghematan bunga perseroan mencapai US$4,9 juta setiap tahun,” kata Agus.

Terkait rencana penerbitan saham baru itu, Abacus Capital Corp bertindak sebagai pembeli siaga. Sejauh ini belum ada kepastian rencana pembelian 32% sampai dengan 37% saham baru Apexindo oleh SeaDrill Ltd.

Mengenai pembangunan rig lepas pantai jenis jack up yang ketiga, Agus menjelaskan bahwa pembangunan dimulai pada Januari tahun depan seraya menunggu rig lepas pantai jenis jack up kedua di Singapura yang akan selesai pada Desember 2006.

Sekretaris Perusahaan Apexindo, Ade R. Satari, mengatakan Apexindo memutuskan akan menempuh penerbitan saham baru karena tren harga saham perusahaan pengeboran di dunia mengalami peningkatan seiring peningkatan permintaan bahan baker.

Apexindo adalah anak perusahaan PT Medco Energi Internasional Tbk yang bergerak di bisnis kontraktor pengeboran minyak, gas dan panas bumi dengan jumlah armada rig terbesar.

Kini emiten itu mengadakan perjanjian kerja sama dengan SeaDrill untuk memasarkan dan mengoperasikan armada rig lepas pantai yang dimiliki SeaDrill di Timur Tengah dan Asia dengan focus utama pasar Indonesia.

Tahun lalu, Apexindo membukukan kenaikan laba usaha 2004 sebesar 51,8% menjadi Rp160,2 miliar dari periode yang sama sebelumnya Rp105,5 miliar. Kenaikan itu karena penerapan strategi efisiensi.

Marjin laba usaha perseroan meningkat 15,7% tahun lalu dari 2003 yang hanya mencapai 12,8%.

Apexindo tahun lalu memperoleh kenaikan pendapatan usaha sebesar 24% menjadi Rp 1 triliun dari periode yang sama sebelumnya Rp823,2 miliar. Pendapatan 2004, merupakan pendapatan tertinggi yang pernah dicapai perseroan.

Kenaikan pendapatan usaha itu, ditopang oleh peningkatan pendapatan jasa pengeboran lepas pantai yang signifikan sebesar 34,4% menjadi Rp729,5 miliar 2004 dari periode yang sama 2003 yang hanya mencapai Rp542,7 miliar. (04) (redaksi@bisnis.co.id)

SeaDrill Acquires Stake in Mosvold Drilling

www.rigzone.com --- SeaDrill Limited has entered into agreements for the purchase of a total of 46,412,500 shares in Mosvold Drilling Ltd equaling 39.5% of Mosvold Drilling's outstanding share capital. SeaDrill Limited has paid NOK 626,042,150 in cash for the shares.

In order to finance the purchases, SeaDrill Limited has made a private placement of NOK 428,301,695 through the issuance of 9,093,454 new shares in SeaDrill Limited at an issue price of NOK 47.10. A significant part of this private placement has been subscribed for by the investors who sold their shares in Mosvold Drilling Ltd. to SeaDrill Limited.

The issued share capital of SeaDrill Limited after the private placement will be US $458,266,432, equalling 229,133,216 shares of US $2 par value.

The strategy behind the purchase is to seek further consolidation among the owners of high end deepwater drilling assets.

The Board of SeaDrill will initiate a discussion with the Board of Mosvold Drilling Ltd. in order to give a similar cash offer for all the outstanding shares in Mosvold Drilling. Such offer is however conditional on finding a financing solution with Mosvolds yard and creditors which make it possible for SeaDrill to optimize the combined groups financing and operational structure.

SeaDrill is engaged in the business of owning and operating off- and onshore drilling rigs and other vessels to be used in the exploration for, production and transportation of crude oil.

As of the date hereof, the SeaDrill Group owns and operates three jack-up rigs and two FPSO vessels. The SeaDrill Group has furthermore two jack-up rigs on order from KFELS and PPL, two semi submersible rigs on order from Jurong in addition to a semi submersible rig with harsh environmental specifications on order for Daewoo.

The SeaDrill Group has furthermore, through Odfjell Invest, two jack-up rigs on order from KFELS, and an option to order a third jack-up rig from the same yard.

The SeaDrill Group has also a minority interest in two semi submersible rigs owned and operated by Ocean Rig and a number of jack-up rigs, barge rigs and land rigs owned, operated and ordered by Apexindo.

SeaDrill Acquires Stake in PT Apexindo

Rigzone.com, SeaDrill 7/22/2005 --- SeaDrill Limited has entered into agreements with an investment company to purchase between 32% and 37% of the enlarged share capital of PT Apexindo Pratama Duta Tbk for a maximum investment amount of US $65 million, pursuant to the latter's upcoming rights issue plan. SeaDrill will, as part of the agreement, take over and subscribe for a majority of the rights in the rights issue. Apexindo will issue 837,600,000 shares in the rights issue resulting in 2,582,600,000 shares outstanding post rights. In addition, SeaDrill and Apexindo have signed a Memorandum of Understanding to enter into an agreement enabling SeaDrill to use Apexindo's services to market and operate SeaDrill's offshore rigs in the Middle East and Asia, with main focus on the Indonesian market. SeaDrill has accumulated a substantial fleet of high spec jack-up drilling rigs including a total of four jack-up rigs presently under construction in Singapore. Apexindo has a 20-year track record of operating rigs safely and efficiently for international oil companies.

Aker Kvaerner to Supply Drilling Equipment to PT Apexindo

Rigzone.com, Aker Kvaerner 5/4/2005 --- The Aker Kvaerner subsidiary, Aker Kvaerner MH, formerly known as Maritime Hydraulics, has signed a contract with PPL shipyard in Singapore for delivery of drilling equipment. The total contract value is approximately NOK 70 million.

The drill floor equipment, mudpumps, drawworks and control systems will be installed on a newbuild jack-up rig for PT Apexindo Pratama Duta Tbk. Aker Kvaerner MH will also assist with the installation and commissioning.

The contract includes an option for delivery of additional drilling equipment. The value of this option is approximately NOK 15 million.

"This is a break-through in the important offshore newbuild market in Singapore. This delivery, to one of the largest yards in Singapore, strengthens our position in the international newbuild market", says Roald Amundsen, President of Aker Kvaerner MH.

The project will start immediately, and the delivery of equipment is scheduled for June 2006. Commissioning of drilling equipment will be completed within December 2006.

Sembcorp Marine to Build Another Jackup for Awilco

SembCorp Marine, www.rigzone.com --- PPL Shipyard, a subsidiary of SembCorp Marine has signed a rig building contract worth US$121 million with Wilsuperior Ltd, a subsidiary of Awilco Offshore ASA for the construction of a Baker Marine Pacific Class 375 Deep Drilling Offshore Jackup Rig.

The Construction Contract is an option that PPL Shipyard granted to Awilco Offshore ASA in May 2004 and which the later has now decided to exercise. The contract takes effect in June 2005.

Construction of the jack-up rig is expected to commence in third quarter of 2005 with delivery scheduled in the second quarter of 2007.

The Baker Marine Pacific Class 375 Deep Drilling Offshore Jackup Rig is a proprietary designed developed and owned by Baker Marine Pte Ltd, a wholly owned subsidiary of PPL Shipyard. The jackup rig, to be named Wilsuperior, will be equipped with a drilling package that will enable it to drill high pressure and high temperature wells at 30,000 feet whilst operating in 375 feet of water. It has accommodation for 120 men.

Mr. T. K. Ong, Managing Director of PPL Shipyard said "We are pleased that Awilco Offshore ASA has decided to exercise the option to build the second jack up rig with us. Speaking of the market, Mr Mørch added "We see an interesting market for this type of drilling units and are confident that this addition to our fleet will enhance our abilities to provide first class drilling equipment to our international clients."

PPL Shipyard, a subsidiary of SembCorp Marine, is a rig-building yard with proven track record in the building and servicing of jackup and semisubmersible rigs. To-date PPL Shipyard has built 26 jackups and 4 semisubmersibles, including two deepwater jackup drilling rigs for Global SantaFe International.

Wilsuperior Ltd, a company registered in Bermuda is a wholly owned subsidiary of Awilco Offshore ASA of Norway. Awilco Offshore ASA has a long tradition of 40 years experience in shipping and in owning and operating offshore rigs worldwide.

Total order book as at December 31, 2004 stood at S$2.3 billion. Total contracts secured for 2005 to-date stands at S$ 973 million.

Barring unforeseen circumstances, SembCorp Marine expects a positive contribution to its earnings from the contract. However, this contract is not expected to have any material impact on the net tangible assets and earnings per share of SembCorp Marine for the year ending December 31, 2005.

PPL Shipyard to Build Jackup for PT Apexindo

Rigzone, SembCorp Marine 2/3/2005 --- PPL Shipyard, a subsidiary of SembCorp Marine has signed a rig building contract worth US$133.7 million with PT Apexindo Pratama Duta Tbk for the construction of a Baker Marine Pacific Class 375 Deep Drilling Offshore Jack Up Rig

The Baker Marine Pacific Class ("BMC Pacific") 375 Deep Drilling Offshore Jack Up Rig is a proprietary design developed by Baker Marine Pte Ltd, a subsidiary of PPL Shipyard. Incorporated in the design of the rig is the Baker Marine Time Tested Proprietary Jacking System that could withstand storms without the use of a Rack Chock System. The jack-up rig is equipped to drill high pressure and high temperature wells of more than 25,000 feet and operating in 375 feet of water. It has accommodation for 120 men.

Construction of the jack-up rig is expected to commence in the first quarter of 2005 with delivery scheduled in January 2007.

Serica Energy Spuds Banteng-1 Well

Serica Energy www.rigzone.com --- Serica Energy reports that the Banteng No. 1 exploration well has been spudded.

The Banteng No. 1 well is being drilled within the Lematang Production Sharing Contract (PSC), located on-shore in South Sumatra, Indonesia. The well is being drilled by the Operator PT MedcoEnergi E&P, a leading Indonesian oil producer, using the Apexindo No. 5 heavy drilling rig. Serica has a 10% carried interest and is not expected to contribute to the approximate US$12.5 million cost of drilling, logging and casing Banteng No. 1.

The estimated total depth of the well is 12,660 feet. Drilling is expected to take approximately three months.

Statoil Spuds First Well for South Pars Phases 6 - 8

Rigzone.com, Statoil 1/27/2004 --- The first well in phases six-eight of Iran's South Pars gas development in the Persian Gulf has been spudded by Statoil as operator for the offshore part of this project. Each of the 30 producers embraced by the program will be drilled to a measured length of about 4,000 meters.

The Rani Woro jackup arrived at the drilling location on January 25th and spudded the day after.

"That's initiated an important new phase in the South Pars development," says well manager Per Haaland in Statoil's project team.

Chartered by Statoil in 2003 for up to three years, Rani Woro is owned by Indonesia's PT Apexindo Pratama Duta in Jakarta.

Iran's Pars Oil & Gas Company (POGC), which is in overall charge of the whole South Pars development, has a five-year contract with Japan Drilling Company.

This covers the charter for Sagadrill 2, which is being chartered on to Statoil for up to three years.

The first of three jackets for the wellhead platforms covered by phases six-eight was installed on the field on January 5th, and the other two are currently being completed. Rune Mordal, project manager for platform construction, confirms that the second jacket is due to be transported to the field in late January or early February.

Sagadrill 2 is scheduled to spud its first well as soon as jacket number two has been installed.

PT Apexindo Wins Iranian Drilling Contract

The agreement was signed last week in Tehran. Drilling is expected to commence by the end of the year. PT Apexindo is a subsidiary of Medco Energi.

Keppel Delivers Newbuild Barge for PT Apexindo

Rigzone.com, Keppel FELS 5/30/2003 --- Keppel Offshore & Marine has successfully delivered a posted submersible drilling barge on time to PT Apexindo Pratama Duta Tbk.

Yani Rig 104, a newbuild order, was delivered to PT Apexindo within a short span of 7.5 months. She is the third of three posted submersible drilling barges to be delivered to the client.

Yani Rig 104 sails off today to join her sisters, Raissa and Maera 101 in the inshore Tunu field, Balikpapan in East Kalimantan for TotalFinaElf Indonesia.

Said Mr. Choo Chiau Beng, Chairman and CEO of Keppel O&M, "PT Apexindo has been growing their fleet of drilling barges to cater for shallow draft in the mangrove swamp areas. We are privileged to be able to take part in their expansion plans.

"This is the third barge we've delivered. I believe Yani Rig 104, together with her sisters, will add further value for our customer."

Mr. Pierre Sanchez, Project Manager for PT Apexindo said, "The Yani Rig 104 project was challenging because of its short completion deadline. The yard had to be flexible in adapting to changing production requirements, yet ensuring that the job would still be delivered on time.

"The Keppel FELS engineering team has shown great professionalism in managing this project."

Keppel O&M was awarded two earlier contracts by long-time customer PT Apexindo, for the new construction of drilling barge Raissa as well as repair and refurbishment of Maera 101.

Yani Rig 104 is a further enhancement of Maera 101 in terms of design arrangements.
